2. Acceptance of Terms
Placing an order on the website constitutes full and unconditional acceptance of these Terms and Conditions of Sale. These terms apply to the exclusion of all others, unless agreed otherwise in writing.
For professional clients, acceptance of a quote constitutes full acceptance of these Terms and Conditions, which take precedence over any of the client's own purchasing terms.
3. Products
The products sold are custom inflatable structures for professional and event use.
Visuals on the website are for illustrative purposes only. Minor differences may exist depending on the specifications validated by the client during the design phase.
As each product is manufactured to order, Custom Air Factory cannot guarantee an identical result to any external reference visual.
4. Pricing
Prices are expressed in euros (€), inclusive of VAT for private individuals and exclusive of VAT for professional clients where stated.
OKEPI LIMITED reserves the right to modify prices at any time. The applicable price is the one stated in the written order confirmation.
For custom orders, a personalised quote is issued before any firm order is placed.
5. Orders
An order is considered firm and final after:
- Receipt and validation of the signed quote by the client
- Receipt of the agreed deposit
A confirmation is sent by email upon receipt of the deposit.
OKEPI LIMITED reserves the right to cancel an order in the following cases:
- Unresolved prior dispute with the client
- Refused or failed payment
- Manifest error in price or product description
Any cancellation initiated by the client after approval of the artwork proof (sign-off) will result in full forfeiture of the deposit paid, as a fixed and final indemnity for design, preparation and production reservation costs already incurred.
6. Payment
Payment is accepted via:
- Credit/debit card (Stripe)
- Bank transfer
- Other methods stated on the quote
For custom orders, a deposit of 30 to 50% is required at the time of order, with the balance due before dispatch.
Payments are secured via encrypted protocols. No banking data is stored by OKEPI LIMITED.
6.1 Late Payment (Professional Clients)
In accordance with applicable commercial regulations, any late payment will automatically and without prior notice result in:
- Late payment penalties calculated at the European Central Bank rate plus 10 percentage points
- A fixed recovery fee of €40, without prejudice to any additional indemnity supported by evidence
6.2 Retention of Title
OKEPI LIMITED retains full ownership of products sold until full and effective payment has been received. Non-payment may result in reclamation of the goods. Risk of loss, theft or damage transfers to the client upon handover to the carrier.
7. Production Lead Times and Delivery
The average production and delivery lead time is 2 to 5 weeks depending on project complexity.
This period begins from validation of the artwork proof (sign-off) by the client and receipt of the deposit.
Delivery is available across Europe and internationally. Delivery costs are stated on the quote.
Delivery timelines are provided as estimates. Delivery delays shall not give rise to damages, compensation or order cancellation, unless directly caused by gross negligence on the part of OKEPI LIMITED.
OKEPI LIMITED accepts no liability for delays or damage caused by the carrier once the order has been dispatched. Risk transfers upon handover to the carrier.
8. Delivery Obligations and Failed Delivery
8.1 Client Obligations
The client is responsible for:
- Providing an accurate, complete and accessible delivery address
- Providing valid and reachable contact details (phone and email)
- Ensuring availability (or that of an authorised third party) at the time of delivery as notified by the carrier
- Inspecting the parcel upon delivery and recording any reservations on the carrier's delivery note
Any error, omission or inaccuracy in the information provided is the client's responsibility.
8.2 Failed Delivery Attributable to the Client
In the event of a failed delivery due to a cause not attributable to OKEPI LIMITED or the carrier, including:
- Absence of the recipient at time of delivery
- Incorrect, incomplete or inaccessible delivery address
- Refusal to accept the parcel
- Unreachable contact number
- Failure to collect within the carrier's allotted timeframe
all resulting costs, including return shipping, storage and redelivery fees, will be charged in full to the client.
8.3 Storage and Order Abandonment
If a parcel is returned to OKEPI LIMITED due to failed delivery, it will be held for a maximum period of 30 calendar days from receipt.
Beyond this period, and without written agreement from the client to cover redelivery costs, OKEPI LIMITED may:
- Charge storage fees of €15 (excl. VAT) per commenced week
- Consider the order abandoned and dispose of the product freely, with no refund of amounts already paid
9. Right of Withdrawal
The right of withdrawal does not apply to products manufactured to order or clearly personalised to the client's specifications.
For professional clients (B2B), sales are governed by commercial law and are not subject to consumer withdrawal rights.
10. Returns and Refunds
Due to the custom-made nature of our products, returns and refunds are only accepted in the following cases:
- Proven manufacturing defect reported within 48 hours of delivery
- Major non-conformity with the written and validated specifications
All claims must be submitted to contact@customairfactory.com with photographic evidence, order number and a precise description of the defect, within 48 hours of delivery. After this period, the product is deemed compliant and accepted without reservation.
No return will be accepted without prior written agreement from OKEPI LIMITED.
11. Warranty
Products benefit from the legal warranty of conformity provided under applicable law.
In the event of a defective product, please contact our customer service team within 48 hours of delivery with photographic evidence.
The warranty does not cover:
- Normal wear and tear
- Damage resulting from use not in accordance with the instructions provided
- Damage caused by improper storage
- Damage caused by incorrect or non-compliant installation
- Damage caused by adverse weather conditions (strong wind, storms) during outdoor use
- Any modification or repair carried out by the client or an unauthorised third party
12. Liability
OKEPI LIMITED shall not be liable for indirect damages arising from the use of products, including misuse, improper storage or incorrect installation.
The use of inflatable structures must comply with the safety instructions provided with each product. The client is solely responsible for the safety of persons and property during installation and use.
12.1 Limitation of Liability
In any event, and unless mandatory legal provisions state otherwise, OKEPI LIMITED's total liability, on any grounds whatsoever, is expressly limited to the net amount effectively paid by the client for the order giving rise to the dispute.
OKEPI LIMITED shall under no circumstances be liable for indirect, intangible or consequential damages, including: loss of business, loss of revenue, loss of customers, loss of reputation, loss of opportunity, or any commercial prejudice resulting from a defect, delay or non-delivery.
12.2 Force Majeure
OKEPI LIMITED shall not be liable for any failure to perform its obligations resulting from a force majeure event, including but not limited to: strikes, social conflicts, pandemics, government restrictions, extreme weather, supplier or carrier failures, international logistics disruptions, or any event beyond its reasonable control.
13. Personal Data
Personal data collected is processed in compliance with the General Data Protection Regulation (GDPR).
The client may at any time request access to, correction of, or deletion of their data by contacting: contact@customairfactory.com
No banking data is stored by OKEPI LIMITED.
14. Intellectual Property
All elements of the website www.customairfactory.com (texts, images, logos, production visuals) are protected by intellectual property law and remain the exclusive property of OKEPI LIMITED.
Visuals and artwork proofs (sign-offs) produced for the client in connection with a custom order remain the property of OKEPI LIMITED until full payment has been received.
The client warrants that it holds all necessary rights to any element (logo, brand, visual) submitted to OKEPI LIMITED for product personalisation, and indemnifies OKEPI LIMITED against any third-party claim in this regard.
15. Governing Law and Disputes
These terms are governed by Irish law, unless mandatory consumer protection provisions applicable in the client's country of residence provide otherwise.
Professional clients: Any dispute relating to the interpretation or performance of these Terms and Conditions shall, failing amicable resolution, be submitted to the exclusive jurisdiction of the courts of Dublin, Ireland.
Consumers: In the event of a dispute, the client may refer the matter to mediation or bring proceedings before the competent court of their place of residence.
16. Severability
If any provision of these Terms and Conditions is found to be null, unlawful or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
The failure of OKEPI LIMITED to enforce any provision of these Terms at any given time shall not constitute a waiver of the right to enforce that provision at a later date.
